Israeli technology company was sold for 2.5 billion dollars.

Holon's firm 'Sapiens International Corporation' will be acquired by the American company 'Advent International'

Technology company Sapiens International Corporation, headquartered in Holon and specializing in intelligent cloud-based software solutions for the insurance industry, announced that it will be acquired by Advent International,  an American private equity firm, in a transaction valued at 2.5 billion dollars.

The agreement, unanimously approved by Sapiens' board of directors, stipulates that shareholders will receive 43.50 dollars per ordinary share.

Once the transaction is completed, the company will cease trading on Nasdaq and the Tel Aviv Stock Exchange, becoming a private company. Israeli group Formula Systems, the current shareholder, will retain a minority stake.

Founded in 1982, Sapiens develops applications and platforms powered by artificial intelligence to help insurers reduce costs, accelerate innovation, and improve their competitiveness.

Its portfolio includes solutions for the Life, Pensions, and Annuities markets, as well as for the Property and Casualty (P&C) sector.

Roni Al-Dor, Sapiens' CEO, described the agreement as "a significant milestone" in the company's trajectory and stated that the partnership with Advent will "support insurers throughout their transformation process, delivering the innovation and service excellence they expect from us."

Meanwhile, Douglas Hallstrom, Advent's director, noted that the acquisition comes "at a critical moment of change in the market" and will allow Sapiens to "accelerate investment in technological innovation, artificial intelligence, and customer focus".

The transaction is expected to close between the fourth quarter of 2025 and the first quarter of 2026, once customary conditions are met, including shareholder approval and the corresponding regulatory permits.
